ClenatureLLC Subscription Terms and Conditions

This document outlines the agreement for the purchase of recurring product subscriptions from ClenatureLLC (the "Company").

1. Agreement and Automatic Renewal Consent

By clicking "Accept and Subscribe" or equivalent, you agree to these Terms and authorize ClenatureLLC to automatically charge your payment method on a recurring basis for the selected Subscription Term and all subsequent Renewal Terms.

2. Subscription Term and Renewal

Initial Term

The initial Subscription Term is fixed at twelve (12) consecutive calendar months, beginning on your sign-up date (the "Subscription Start Date").

Delivery Frequency

You must select one recurring delivery schedule:

  • Monthly: Delivery and billing occur approximately every 30 days.
  • Bi-Monthly: Delivery and billing occur approximately every 60 days (Every Two Months).

Automatic Renewal

Unless cancelled by you, this subscription will automatically renew for successive 12-month Renewal Terms on the anniversary of your Subscription Start Date.

3. Discount Structure and Pricing

Introductory Discount Tiering

Discounts are applied sequentially based on the total number of successfully paid deliveries:

  • Delivery N=1: 5% off the retail price.
  • Delivery N=2: 10% off the retail price.
  • Delivery N=3: 15% off the retail price.

Standard Ongoing Discount

Upon receiving and paying for the 4th Delivery (N=4), you permanently qualify for the Standard Subscriber Rate of 10% off the retail price. This 10% discount applies to all subsequent deliveries for the remainder of the initial 12-month term and continues indefinitely for all Renewal Terms until you cancel. All fees are payable in U.S. Dollars (USD).

Discount Clawback

If you cancel the subscription before completing the minimum commitment of four (4) paid deliveries, the Company reserves the contractual right to reclaim (claw back) the difference between the discounted price you paid for deliveries 1 through 3 and the Standard Subscriber Rate (10%) that would have applied.

4. Order Management and Cancellation Policy

Order Changes and Cut-Off Date

All changes, including modifying box contents, updating address, or electing to skip a delivery, must be initiated through the main product interface. Changes must be completed before the specified Cut-Off Date (15 days before monthly charge, 20 days before bi-monthly charge).

You may not manually select or change the specific Charge Date or Delivery Date. Skipping a delivery delays your next order by one full cycle but does not reset your discount progression.

Cancellation

You may cancel your subscription at any time. Cancellation must be effective upon the end of the current Delivery Cycle, provided the request is submitted before the applicable Cut-Off Date. The mechanism for cancellation will be as simple to use as the original method of sign-up ("Click-to-Cancel" mandate).

5. Notifications and Legal Provisions

Renewal Notification

For all annual renewals, we will send a clear notice via email between 15 days and 45 days before the renewal date to remind you of the impending charge and how to cancel. Any planned price increases or changes to the 10% Standard Subscriber Rate will be communicated at least thirty (30) days in advance.

Limitation of Liability

The Company's total liability related to this agreement shall not exceed the amount you paid during the twelve (12) months preceding the claim. The Company makes no warranties, express or implied, regarding the products delivered, and products are provided "as is, where is."

Governing Law and Dispute Resolution

All disputes arising out of this Agreement shall be governed by the laws of the State of New York. You agree that any disputes shall be resolved through mandatory binding arbitration conducted in New York County.
